Seeking Mergers & Acquisitions Manager, Attorney, Accountant or RW Ins Underwriter experience to join team in Representation and Warranty Insurance underwriting position to develop custom policies for buyers, sellers and passive investors risk coverage.

Activities:

*** Work Closely with Owners, Investors, Attorneys, Finance Executives, etc. on Projects.

*** Review Transaction Agreements, Financial Statements, Due Diligence, Non-Reliance Letters, Operational Risks, Representations, etc.

*** Assess Parties to the Transaction

*** Identify Anomalous Risks such as Changing Technology & Market Forces, Political, Environmental, Tax & Regulatory, etc.

*** Negotiate Escrow, Indemnity, Limit, Retention, Pricing, Claims Period, etc.

*** Establish Deductibles

*** Specify Definitions and Subrogation

*** Draft Proposals & Policy Terms

*** Bind Policies

Typical Risks Covered:

*** Unintentional and unknown breaches of the representations and warranties made in an acquisition or merger agreement.

*** Breach of covenants and special indemnities

*** Political, Environmental, Regulatory, Tax, etc. issued.
