Commercial Associate (Ref:3):
Review, draft and negotiate commercial contracts such as Software As a Service Agree-ment, Master Service Agreement, Master Service Agreements, Non-disclosure Agree-ments, Business Partnership Agreements, Channel Partnership Agreements, Employment Agreements, Distribution Agreement etc. Counsel clients in privacy compliance and regu-latory strategy, draft privacy policies, cookie policies, terms of use, terms of service, data processing agreements. Work with companies to implement data mapping to identify data flows and carry out data protection impact assessment to mitigate security breach. Coun-sel global clients on compliance strategies to identify and manage privacy risks in indus-tries like start-up tech, finance, manufacturing. Negotiate intellectual property rights con-tracts, such as trademark and copyright license agreements, software license agreements and assignment agreements. Draft detailed cease and desist notices and replies in matters of trademark infringement and passing off and copyright infringement for unauthorized reproduction of artistic, musical, literary, and dramatic work. Carry out trademark search-es at the USPTO. Carry out legal research and draft legal memorandums related to varied privacy laws and regulations, technology laws and IP laws. Assist in drafting articles for the company website on varied aspects of privacy law, technology law and IP law.

Job Requirements:
License Requirement: Must be an active member of the State Bar of California.
Minimum Education: Master of Laws (LLM)
Minimum Experience: Two (2) years. Two (2) years of experience must include experience in counseling clients in privacy compliance and regulatory strategy, drafting privacy poli-cies, cookie policies, and terms of use, and negotiating intellectual property rights con-tracts. Employer will accept experience gained before, during, or after the Master of Laws (LLM) degree.
