POSITION TITLE: Member, Board of Directors

POSITION TERM: 1 Year (Renewable)

POSITION OVERVIEW: The board of directors of the Global Development Bank is legally and ethically responsible for all activities of the organization, but does enjoy contractual indemnity.

To that end it:

1. Determines how the organization will carry out its mission through long and short-range planning

2. Adopts an annual budget and provides fiscal oversight.

3. Recruits, orients, and develops new board members, in cooperation with the Office of the Chief Executive Officer.

4. Hires and evaluates the performance of the Chief Executive Officer.

5. Evaluates the Bank's overall performance in achieving the mission in cooperation with the Office of the Chief Executive Officer.

6. Establishes policies for the effective management of the organization in cooperation with the Office of the Chief Executive Officer.

POSITIONAL RESPONSIBILITIES:

In addition to carrying out all duties related to the above mentioned concepts, a Member of the Board of Directors may expect to;

• Understand and promote the organization’s mission.

• Be familiar with the organization’s programs, policies, and operations.

• Attend board meetings and appropriate committee meetings.

• Actively serve on at least one committee.

• Review agenda and supporting documents prior to meetings.

• Participate in fund raising activities and special events.

• Keep current on all policy and program issues in which the Bank currently has, or has previously expressed a serious interest in having, a stake in.

• Strictly adhere to conflict of interest policies.

• Strictly adhere to confidentiality policies.


POSITIONAL TIME DEMANDS (APPROX.):
**
• Attend and actively participate in all board meetings (there are two monthly board meetings, approximately 2 hours in length, on the first Monday and last Friday of every given calendar month, in every given calendar year.)

• Attend and actively participate in committee meetings and related work (1-3 hours per moth as determined by the committee)

• Attend and actively participate in an annual planning retreat (1 weekend per year, to be set at a time, date, and place of the board's choosing)

• Attend special events such as fundraisers, conferences, and ground breaking ceremonies when possible (2 fundraisers per year recommended, 1 conference to take place in December of every year in Washington, D.C over the weekend immediately proceeding Christmas Day.)

• Attend new board member orientation (approx. 2-3 hours on a day and at a time of the Member's choosing.)

• Meet with potential donors/funders (in person and over the phone) to make a case for funding the organization, answer questions, etc. (approx. 4 hours annually.)

COMPENSATION: Position to be compensated in the amount of $150,000 (USD) per annum.
